Terms of Business
These terms set out how Client Mark Studio works with business clients on one-off projects and ongoing asset support.

These terms are intended for business clients. If you are buying wholly or mainly as a consumer rather than for business purposes, please say so before work is agreed because different statutory rights may apply.
2. Scope and project agreement
Before work starts, Client Mark Studio will agree the main deliverables, price, expected timing and any important assumptions with you in writing. That written scope, together with these terms, forms the project agreement.
Anything materially outside the agreed scope may require a revised quote, additional fee or separate project.
3. Prices and payment
Unless another arrangement is agreed in writing, projects below £300 are payable in full before work begins. Projects of £300 or more are normally paid 50% before work begins and 50% before the final deliverables are released.
Ongoing Asset Support is priced by tailored monthly quote, with the agreed services, payment timing and notice arrangements confirmed before the support period starts.
Invoices are payable by the due date shown on the invoice. Work may be paused where an amount due remains unpaid.
4. What you need to provide
You are responsible for providing accurate information, timely feedback, any necessary brand materials and any content or assets that Client Mark Studio needs to complete the work. You confirm that you have permission to supply and use materials you provide.
Delays in receiving information, approvals or feedback may move the delivery date.
5. Revisions and approval
Unless the written scope says otherwise, one reasonable consolidated revision round is included. Additional rounds, substantial changes of direction or work outside the agreed scope may be quoted separately.
You are responsible for checking names, prices, factual statements, legal or regulatory wording and other business-critical details before final approval and use.
6. Timings and delivery
Any delivery date is based on the agreed scope and on information and feedback being provided when needed. Client Mark Studio will keep you informed if an unexpected issue materially affects timing.
Final deliverables are supplied in the formats agreed for the project. Editable source or working files are included only where the scope specifically says they are included.
7. Intellectual property and usage
Once the agreed fees have been paid in full, you may use the final approved deliverables for your business for the purposes they were created for, unless a different licence or ownership arrangement is agreed in writing.
Client Mark Studio retains its pre-existing know-how, methods, reusable systems, templates, working files, unused concepts and other materials that were not created exclusively as the final deliverable. Third-party fonts, images, software or other licensed material remain subject to their own licence terms.
8. Confidential information and portfolio use
Both sides should treat genuinely confidential information received during a project with reasonable care and use it only for the project or relationship concerned.
Client Mark Studio will not publish confidential client work as a portfolio example without permission. Work that is already public may be referenced factually, but any agreed confidentiality takes priority.
9. Cancellation and paused projects
If you cancel after work has started, you remain responsible for the value of work reasonably completed up to the cancellation date and for any non-refundable third-party costs already committed for the project. Any payment already made will be credited against those amounts.
If a project is left inactive for an extended period because required information or feedback has not been provided, Client Mark Studio may pause it and agree a revised restart date before continuing.
10. Third-party services
A project may involve third-party services such as hosting, domain providers, software platforms, stock assets or other tools. Unless expressly included in the quote, third-party charges are your responsibility and their own terms apply to those services.
11. Results and professional responsibility
Client Mark Studio provides business materials and related creative services. No particular sales, revenue, conversion, ranking or other commercial result is guaranteed.
You remain responsible for decisions about how the final materials are used and for obtaining specialist legal, financial, regulatory or other professional advice where your business requires it.
12. Liability
Nothing in these terms excludes or limits liability where the law does not allow that. Subject to that, Client Mark Studio will not be responsible for indirect or consequential losses, or for losses caused by inaccurate information, unauthorised materials or instructions supplied by the client.
For a claim arising from a particular project, Client Mark Studio's total liability will not exceed the amount paid for that project, except where the law requires otherwise.
13. Changes and written variations
If the agreed scope or commercial arrangement changes, both sides can confirm the change in writing, including by email. A project-specific written agreement takes priority over these general terms where it expressly says something different.
14. Governing law
These terms and business-to-business projects are governed by the law of England and Wales. The courts of England and Wales will have jurisdiction, subject to any mandatory legal rights that apply.
